Terms and Conditions for the Tojaz Guarantee Service

These terms and conditions set out the rules governing the use of the “Tojaz Guarantee” service, a technical service aimed at organizing the transactions and financial operations related to services, projects, work, and agreements between parties, according to the mechanism available within the Tojaz platform.

By using Tojaz Guarantee, or creating or accepting any transaction through it, the user acknowledges that they have read and understood these terms, and have agreed to comply with them and with the regulations and laws in force in the Kingdom of Saudi Arabia.

1.Definitions

Tojaz: the Tojaz technical platform and all the systems, interfaces, and digital services related to it.
Tojaz Guarantee: the technical service dedicated to organizing transactions and financial operations between parties according to the mechanism specified within the platform.
User: any natural or legal person who uses Tojaz Guarantee, whether as a client, buyer, seller, service provider, or in any other capacity related to the transaction.
Client: the user who requests or contracts for a service, project, or work, depending on the nature of the transaction.
Buyer: the user who purchases a product, service, or work from another party, depending on the nature of the transaction.
Seller: the user who sells a product, service, or work, depending on the nature of the transaction.
Service provider: the user who provides a service, project, or work to the other party.
Transaction: any dealing or agreement organized through Tojaz Guarantee, including services, projects, work, agreements, and related dealings, as permitted by the platform and the applicable regulations.
Amount: the financial value agreed upon in the transaction.
Milestone payment: a portion of the transaction value allocated to a specific stage of execution.
Dispute: any objection or disagreement arising between the transaction parties regarding its execution, value, delivery, or entitlement to the amount.

2.Scope of the Tojaz Guarantee Service

Tojaz Guarantee enables the organization of payment and disbursement operations related to services, projects, work, and agreements between parties.
The transaction parties may be buyers, sellers, clients, service providers, or any other users, depending on the nature of the transaction.
Tojaz is not considered a party to the original agreement between the transaction parties, unless expressly stated otherwise.
Tojaz's function in this respect is limited to providing the technical and procedural means necessary to organize the transaction, as available within the platform.
The transaction parties remain responsible for agreeing on the nature of the service, project, or work, its scope, specifications, duration, value, and any other obligations between them.

3.Creating a Guarantee Transaction

The transaction is created by specifying the transaction data, its value, the parties involved, and the execution terms.
The transaction data must be accurate, precise, and complete.
Creating a fake or fictitious transaction, or one not related to an actual dealing, is prohibited.
The parties must review the transaction details before approving it.
Once the transaction is approved, the data and terms recorded in it are the primary reference for organizing the transaction, unless amended according to the mechanism available within the platform and with the agreement of the parties concerned.

4.Payment and Deposit of the Amount

Payment, collection, and disbursement operations are carried out through Saudi banks and payment service providers licensed or authorized by the competent authorities, in accordance with the regulations, laws, requirements, and controls in force in the Kingdom of Saudi Arabia.
This includes compliance with the relevant regulations and instructions issued by the Saudi Central Bank (SAMA) regarding payment services and customer protection, as applicable to the transaction and the relevant service provider.
Creating the transaction or entering payment data alone is not considered completion of the transaction unless the success of the payment is confirmed in accordance with the system.
The amount is not considered due to the beneficiary party merely by creating the transaction or initiating the payment process; it remains subject to the entitlement and disbursement mechanism specified in the transaction.

5.Fees and Commissions

Tojaz is entitled to a commission of 4% of the transaction value, and the commission amount is shown to the user before the transaction is confirmed.
Each party bears the bank fees and transfer fees arising from them, and any other fees related to them, unless otherwise agreed within the transaction details before confirmation.
The transaction value, Tojaz's 4% commission, and the total amount due are shown to the user clearly before the transaction is confirmed, along with any other fees borne by either party where applicable to the transaction.
The payment process is not carried out until the user confirms and agrees to the transaction value, the commission, and the fees shown to them.
If the transaction is completed and the due amount is disbursed in accordance with the terms of Tojaz Guarantee, Tojaz's 4% commission is not refunded, as it is consideration for the use of Tojaz Guarantee and the related technical procedures and services, unless the law requires or the legal situation requires otherwise.
If the transaction is cancelled or its amount refunded before completion, Tojaz's commission is handled according to the transaction's status and the mechanism explained to the user before payment.
No party may be charged additional fees that were not disclosed to them before the transaction is executed.

6.Transfer Service

The user may choose the transfer service where it is available within Tojaz Guarantee.
A fee of 6% of the value of the amount to be transferred applies to the transfer service.
The transfer fee amount and the total amount due are shown to the user before confirming and approving the transfer request.
The transfer request is not executed until the user confirms the data, the amount, and the applicable fees.
Transfer operations are subject to the applicable regulations, controls, and requirements, and to the procedures of the relevant bank or payment service provider.

7.Execution of the Transaction and the Service

The party responsible for execution must carry out the service, project, or work according to the details, specifications, and duration agreed upon and recorded in the transaction.
The beneficiary or requesting party must provide the information, documents, and requirements necessary to execute the transaction.
No party may materially change the scope, value, or duration of the transaction without documenting the amendment according to the mechanism available.
Each party bears responsibility for the obligations imposed on it under the agreement concluded between it and the other parties.

8.Milestone Payments

The transaction may be created in multiple payments or stages, depending on the nature of the project, service, or work.
The value of each milestone and the terms of its entitlement must be specified where the transaction relies on milestone payments.
A milestone payment is disbursed after the entitlement and approval conditions are met, in accordance with the mechanism specified for the transaction.
Approval of a given milestone does not mean approval of all subsequent milestones.
If a dispute relates to a specific milestone, the amount linked to it may be suspended until the dispute is resolved according to the approved mechanism, without affecting other amounts not covered by the dispute, where possible.

9.Approval of Completion and Disbursement of the Amount

Once the responsible party completes the agreed work, the other party may review and receive the service or work in accordance with the transaction details.
Once completion or a milestone is approved, the amount is handled according to the disbursement mechanism specified in the transaction.
The amount may be disbursed automatically according to the approved mechanism for the transaction once the entitlement conditions are met, where this feature is available.
Once the disbursement process is complete in accordance with the specified terms, the transaction may not be reversed nor the amount refunded except in the permitted cases and according to the permitted procedures.

10.Non-Response by a Party

If the responsible party has fulfilled its obligations and the other party does not respond to the request to approve completion or to raise an objection within the period specified in the transaction, the platform's approved automatic action mechanism may apply.
The response period and the mechanism for handling non-response are determined according to the transaction's settings or the service policy in force at the time of its execution.
Where a dispute or objection validly exists, non-response alone is not considered a waiver of the rights established by law.

11.Cancellation

The transaction may be cancelled according to its status, the stage it has reached, and the transaction's terms.
If cancellation occurs before execution of the service or work begins, a refund of the amount may be possible according to the applicable terms and procedures.
If execution has begun or part of the service or work has been delivered, entitlements are determined according to what has actually been carried out, the nature of the transaction, and the agreement between the parties.
A refund for some services or work that has been executed or delivered may not be possible, in whole or in part, depending on the nature of the transaction and the applicable regulations.

12.Refunds

Amounts due to the user are refunded according to the approved refund mechanism and the payment method used, where possible.
Refund processing times may vary depending on the bank or payment service provider.
Tojaz is not responsible for the time taken by the bank or payment service provider to process a refund after the refund request has been executed by the platform.
Submitting a refund request does not mean it is automatically approved; it remains subject to review and the terms applicable to the transaction.

13.Disputes and Objections

Any party to the transaction has the right to open a dispute through the means available on the platform when a disagreement related to the transaction arises.
The party opening the dispute must explain the reason for the objection and submit any available documents or relevant evidence.
Evidence may include agreements, correspondence, files, documents, proof of delivery, invoices, photos, or recordings related to the transaction, where their use is legally permissible, and any other related information.
The disputed amount may be suspended until the review procedures are completed, according to the approved mechanism.
Tojaz's intervention in organizing the dispute does not mean it has become a party to the original agreement or that it bears the obligations of any of the transaction parties.

14.User Responsibilities

Providing accurate and precise information.
Complying with the agreed transaction details.
Providing the information and documents necessary to execute the transaction.
Responding to the other party's requests and to verification and support requests.
Not submitting malicious or inaccurate reports or objections.
Not using the service for any activity that violates the regulations.

15.Passwords and Verification Codes

The user may not share passwords, verification codes, login codes, or any security data related to their account with any other person.
If the user voluntarily shares this data with any other party, they bear responsibility for any use of or action on their account resulting from such sharing, to the extent permitted by the applicable regulations.
No user may request the password or verification code of another user's account for the purpose of executing a transaction.

16.Amendments to the Transaction

The parties may agree to amend the transaction's value, scope, or execution period according to the mechanism available.
Any material amendment within the transaction must be documented where the platform provides this feature.
No material amendment that is undocumented is given effect where documenting it was available and required under the service's mechanism.

17.Verification of Users and Transactions

Tojaz may request additional information or documents to verify the user's identity, the validity of the transaction, or the nature of the activity.
A transaction may be temporarily suspended when it is necessary to verify data or documents, or where indicators requiring review exist.
Some transactions may be refused, suspended, or cancelled if found to violate the regulations, the service's terms, or the requirements of payment service providers or competent authorities.

18.Prohibited Operations

Money laundering or terrorism financing.
Fraud or identity theft.
Fictitious or sham transactions.
Purchasing or selling prohibited services or products.
Any activity that violates the regulations and laws in force in the Kingdom of Saudi Arabia.
Circumventing payment systems, fees, or verification procedures.
Using another person's account without lawful authorization.
Tojaz has the right to take appropriate action against violating operations, including suspending the transaction or account, or referring the matter to the competent authorities, where required or permitted by law.

19.Data Protection and Privacy

Personal data related to Tojaz Guarantee is processed in accordance with the regulations and laws in force in the Kingdom of Saudi Arabia and the approved privacy policy.
Data related to the transaction may include user data, transaction data and its value, payment data, documents, correspondence, dispute data, and the technical records necessary to operate and protect the service.
Data may be shared, to the extent necessary, with banks, payment service providers, technical bodies, or competent authorities in accordance with the regulations and legitimate need.
Data is retained in accordance with the periods and requirements set by law and the approved policies.

20.Tojaz's Role and Limits of Liability

Tojaz provides the technical infrastructure and procedures necessary to organize the transaction as available within the service.
Tojaz does not guarantee the quality of the service, project, or work provided by any party, or its suitability for the purpose intended by the other party, unless expressly stated otherwise.
Tojaz is not responsible for any delay or failure resulting from the bank, the payment service provider, or any external party beyond its control, while taking reasonable measures to address the issue where possible.
These terms do not exempt any party from the liabilities imposed by the applicable regulations.

21.Force Majeure and Technical Failures

The service may be affected by circumstances reasonably beyond control, including technical failures, interruptions in communications services, banking systems, or payment service providers, disasters, or decisions or measures issued by competent authorities.
In such cases, appropriate measures are taken to restore the service and address the affected transactions where possible and in accordance with the applicable regulations.

22.Closing the Transaction

A transaction is considered complete once the specified completion, disbursement, and closure conditions are met.
After a transaction is closed, its record is retained in accordance with the applicable data and record-retention requirements.

23.Unclaimed Amounts

If any amount related to a transaction remains incapable of being disbursed or refunded due to a party's non-response or the existence of a legal or technical obstacle, it is handled in accordance with the approved procedures and the relevant regulations.

24.Relationship with Tojaz's General Terms and Conditions

Tojaz Guarantee is also subject to Tojaz's general terms and conditions to the extent they do not conflict with these terms.
Where a direct conflict exists between Tojaz Guarantee's terms and the general terms regarding a guarantee transaction, the provisions specific to Tojaz Guarantee apply to the extent of that conflict.

25.Amending the Terms

Tojaz may update or amend the terms and conditions of the Tojaz Guarantee service when needed, including as a result of regulatory, technical, or operational changes.
Users are notified of material changes through the available means and as required by law.

26.Governing Law and Jurisdiction

These terms and conditions are subject to the regulations and laws in force in the Kingdom of Saudi Arabia.
Where a dispute arises that cannot be resolved amicably through the available mechanisms, jurisdiction lies with the competent judicial or other authority in the Kingdom of Saudi Arabia.

27.Contact and Support

The user may contact Tojaz regarding Guarantee transactions, inquiries, or complaints through the official support and contact channels approved within the platform.
The user must provide support with the transaction number and the information necessary to verify and process the request.

By using Tojaz Guarantee, or creating or accepting any transaction through it, the user acknowledges that they have read and understood these terms and conditions, agreed to them, and undertakes to comply with them and with the regulations and laws in force in the Kingdom of Saudi Arabia.
